These Terms do not constitute a consulting agreement. The terms of any professional engagement are governed solely by the written Consulting Agreement executed between JNA Resource Advisory, LLC and the client.

These Terms apply to all visitors, enquirers, and users of the Site.
If you are accessing the Site on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
These Terms do not govern the provision of professional consulting services, which are exclusively governed by written Consulting Agreements executed between JNA Resource Advisory, LLC and clients on a project-by-project basis.
JNA Resource Advisory, LLC ("JNA," "we," "us," or "our") is a professional geological consulting firm registered in the State of Arizona, USA. The firm is operated by James N. Adu, CPG, RM(SME), a Certified Professional Geologist and Registered Member of the Society for Mining, Metallurgy & Exploration, credentialed as a Qualified Person under NI 43-101 (Canada), SK-1300 (USA/SEC), and JORC 2012 (Australasia).
Our services are directed exclusively to businesses, investment firms, law firms, and professional organizations operating in the mining, resources, and financial sectors. We do not provide services to individual retail investors or members of the general public in a personal capacity.

All technical reports, resource estimates, due diligence memoranda, geological models, and other deliverables produced by JNA Resource Advisory under a Consulting Agreement remain the intellectual property of JNA Resource Advisory, LLC unless otherwise specified in the applicable Consulting Agreement. Clients receive a license to use deliverables as specified in their Consulting Agreement. The QP certificate and professional opinion are the exclusive intellectual property of the certifying Qualified Person and may not be reproduced without attribution.
The JNA Resource Advisory name, logo, and "Where Geology Meets Capital" tagline are proprietary identifiers of JNA Resource Advisory, LLC. Nothing in these Terms grants you any right to use our trademarks, trade names, or service marks.
Submitting an enquiry through the Site's contact form, sending an email, or making a telephone call to JNA Resource Advisory does not create a consulting relationship, a professional obligation, or any contractual duty on the part of JNA Resource Advisory. A professional engagement is only created when both parties have executed a written Consulting Agreement.
JNA Resource Advisory is a geological consulting firm, not a law firm. Communications with JNA Resource Advisory are not protected by attorney-client privilege. Do not send confidential proprietary information through the contact form or in initial emails without first executing a Non-Disclosure Agreement.
JNA Resource Advisory treats all project enquiries with discretion and will not disclose the details of your enquiry to third parties except as described in our Privacy Policy. For formal protection of confidential project information, we will execute a mutual Non-Disclosure Agreement upon request before you share any proprietary data.
We aim to acknowledge all enquiries within one business day. Response times may vary during peak filing seasons (typically Q1 and Q3) or during active site visit assignments. We do not guarantee availability or the ability to accept new engagements at any given time.
The following provisions apply to professional consulting services provided by JNA Resource Advisory. They summarize general principles; the full terms of any engagement are set out in the executed Consulting Agreement.
All consulting services are performed under a written Consulting Agreement that defines the scope of work, deliverables, timeline, fees, and payment schedule. JNA Resource Advisory will not commence substantive work on any engagement without a fully executed Consulting Agreement and receipt of the required deposit payment.
Standard payment terms are:
Day-rate work is invoiced weekly with Net-15 terms. Retainer arrangements are invoiced monthly in advance.
Travel, accommodation, laboratory fees, data acquisition costs, and other out-of-pocket expenses incurred in the performance of consulting services are billed to the client at cost plus a 15% handling fee, unless otherwise agreed in the Consulting Agreement. Site visit costs are estimated in the proposal and confirmed before travel is booked.
Invoices not paid within the agreed payment period accrue interest at 1.5% per month (18% per annum). JNA Resource Advisory reserves the right to suspend work on any engagement where payment is more than 14 days overdue.
Either party may terminate a consulting engagement with 14 days' written notice. Upon termination, JNA Resource Advisory is entitled to payment for all work completed to the date of termination, plus reasonable demobilization costs. Any deposit amounts for work not yet commenced are refundable.
As a Qualified Person under NI 43-101, SK-1300, and JORC 2012, JNA Resource Advisory and its principal are subject to strict professional independence requirements. We cannot accept or retain an engagement where:
Before accepting any engagement, JNA Resource Advisory will conduct an independence review. If a conflict is identified, we will disclose it and, where it is material, decline the engagement.
A Qualified Person's opinion is a professional technical judgment based on the data available and reviewed at the time of the engagement. QP certifications and technical reports:
Technical reports and QP certifications prepared by JNA Resource Advisory are prepared for the specific purpose and audience stated in the applicable Consulting Agreement. Reliance on these documents by parties other than the intended recipient(s) is at the sole risk of the relying party. JNA Resource Advisory accepts no liability to any party other than the direct client for whose benefit the report was prepared, except as required by applicable securities law.
Important: JNA Resource Advisory is a geological and technical consulting firm. We are not licensed financial advisors, investment dealers, broker-dealers, or securities professionals. Nothing on this website or in any JNA deliverable constitutes financial advice, investment advice, or a recommendation to buy, sell, or hold any security or financial instrument.
While JNA Resource Advisory's principal holds an Executive MBA with a Finance specialization and incorporates financial analysis (DCF modeling, NPV/IRR) into certain consulting deliverables, this work is performed as a technical adjunct to geological services for the purpose of project evaluation — not as financial advisory services regulated under applicable securities or financial services laws.
All financial modeling included in JNA deliverables is provided for informational and scoping purposes only. Investment decisions should be made in consultation with qualified financial advisors, investment bankers, and legal counsel. JNA Resource Advisory is not responsible for investment decisions made on the basis of its technical reports or financial modeling outputs.
JNA Resource Advisory treats all client project information — including geological data, drill results, resource estimates, financial projections, business strategies, and commercial terms — as strictly confidential. We will not disclose such information to any third party except:

Information shared by JNA Resource Advisory in proposals, methodology documents, rate cards, and internal procedures is proprietary. You agree not to share, reproduce, or use such information for any purpose other than evaluating a potential engagement with JNA Resource Advisory.
The Site and all content on it is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied. JNA Resource Advisory expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be error-free, uninterrupted, or free of viruses or other harmful components.
While we make reasonable efforts to ensure the accuracy of information on the Site, we do not warrant that all content is current, complete, or accurate. Information about fees, timelines, and service scope on the Site is indicative only; final terms are determined in the Consulting Agreement.
To the fullest extent permitted by applicable law, JNA Resource Advisory, LLC and its principal shall not be liable for any:
In no event shall our total liability to any party for any cause whatsoever, regardless of the form of the action, exceed the greater of: (a) the fees actually paid by the claimant to JNA Resource Advisory in the 12 months preceding the claim; or (b) USD $500.
Liability to direct consulting clients under executed Consulting Agreements is governed solely by the terms of those agreements, which incorporate professional liability insurance coverage maintained by JNA Resource Advisory.
JNA Resource Advisory's liability for QP certifications and technical reports prepared under NI 43-101, SK-1300, or JORC is governed by the applicable reporting standards, relevant securities legislation, and the terms of the executed Consulting Agreement. Nothing in these Terms of Service limits obligations imposed by applicable professional or regulatory standards.
You agree to indemnify, defend, and hold harmless JNA Resource Advisory, LLC and its principal from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Any legal proceedings arising out of or related to these Terms (other than disputes governed by an executed Consulting Agreement) shall be brought exclusively in the state or federal courts located in Maricopa County or Gila County, Arizona, USA. You hereby consent to the personal jurisdiction of these courts.
Before initiating any legal proceedings, you agree to first contact JNA Resource Advisory in writing at info@jnaresourceadvisory.com to attempt to resolve the dispute informally. We will respond within 14 business days. If the dispute is not resolved within 60 days of the initial written notice, either party may pursue formal legal remedies.
Disputes arising from professional consulting engagements — including QP certifications, technical reports, and deliverables — are governed exclusively by the dispute resolution provisions in the applicable Consulting Agreement, which may include mandatory mediation or arbitration.
JNA Resource Advisory reserves the right to modify these Terms of Service at any time. We will notify you of material changes by:

If you do not agree with any changes, you should immediately discontinue use of the Site. Changes to Terms do not retroactively alter the terms of any executed Consulting Agreement unless both parties agree in writing.
